AGIO DIGITAL AUTHORIZED USER AGREEMENT

This Agio Digital Authorized User Agreement (the “Agreement”) is a binding agreement between you (“you” or “your”) and the Issuer (“we”, “us”, or “our”) that governs your use of an Agio Digital Spend Card (the “Card”) issued to you as an Authorized User of an account held by a business customer of Agio Digital Ltd. (“Agio Digital”).

BY ACCEPTING THIS AGREEMENT, CREATING A CARD, OR ACTIVATING OR USING A CARD ISSUED TO YOU, YOU REPRESENT THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THIS AGREEMENT.

Effective as of July 17, 2026

1. Definitions

“Account” means the Agio Digital Spend Account established for the Company under the Card Terms.

“Authorized User” means an individual, such as an employee, officer, or contractor of the Company, whom the Company has authorized to use a Card on its behalf.

“Card Terms” means the Agio Digital Spend Card Terms accepted by the Company for its program and jurisdiction, available from Agio Digital’s legal pages.

“Company” means the business customer of Agio Digital that completed business verification and holds the Account through which your Card is issued.

2. Your status as an Authorized User

Your Card is issued at the request of, and on the authority of, the Company. You access the Card and the Account only to the extent the Company authorizes, and the Company may modify or withdraw that authorization at any time. The Account, all Cards issued on it, and any collateral or balances associated with it remain governed by the Card Terms between the Company and the Issuer. This Agreement does not make you a party to the Card Terms and does not create an account in your name.

3. Permitted use

You will use the Card only for bona fide business purposes of the Company and in compliance with the Card Terms, applicable law, and any policies the Company sets for your Card, including any spending limits. The Card is not intended for personal, family, or household use and you agree not to use it for such purposes. You will not use the Card for any transaction prohibited by the Card Terms or by the prohibited activities list published on Agio Digital’s legal pages.

4. Card security

You will use all reasonable means to protect your Card, card credentials, and log-in credentials from unauthorized use. You will not allow any other person to use your Card. If your Card or its credentials are lost, stolen, or compromised, or you become aware of any unauthorized use, you will notify the Company and Agio Digital promptly at [email protected]. You agree to cooperate with the Company, Agio Digital, the Issuer, and law enforcement in investigating any unauthorized use.

5. Accurate information

You represent that all information you provide in connection with your Card, including your name and contact details, is complete, true, and correct, and you will keep it current. You consent to the Company, Agio Digital, and the Issuer collecting, using, and sharing information about you and your Card transactions to provide the Card program, verify identity, prevent fraud, and comply with law, as described in the privacy notices available on Agio Digital’s legal pages.

6. Electronic communications

Your acceptance of this Agreement and your use of the Card are subject to the E-Sign & Electronic Communications Notice available on Agio Digital’s legal pages, which permits delivery of disclosures and communications relating to your Card electronically and gives your electronic acceptance the same legal effect as a physical signature.

7. Suspension and termination

The Company, Agio Digital, or the Issuer may suspend or cancel your Card at any time, with or without cause and without prior notice. Your authorization to use the Card ends when the Company withdraws it, when the Account closes, or when this Agreement or the Card Terms terminate. Sections 4, 5, and 8 survive termination.

8. Liability and disclaimers

Obligations to pay for transactions made with your Card rest with the Company under the Card Terms. You remain responsible for use of the Card in breach of this Agreement, including personal or unauthorized use you enable. EXCEPT AS OTHERWISE REQUIRED BY LAW, THE ISSUER AND AGIO DIGITAL DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE CARD, AND ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE CARD.

9. Changes to this Agreement

We may change this Agreement from time to time. Where required by law we will give you advance notice of changes. Your continued use of the Card after a change takes effect constitutes your acceptance of the changed Agreement.

10. Governing terms

If there is a conflict between this Agreement and the Card Terms, the Card Terms control as between the Company and the Issuer, and this Agreement controls as to your individual obligations as an Authorized User.
